1. Service Description

FormLLC provides business formation assistance services for non-US residents. This includes LLC formation filings, EIN applications, entity reporting review, and related administrative support. FormLLC is NOT a law firm, CPA firm, or financial advisor. We do not provide legal, tax, or financial advice.

2. Not Legal or Tax Advice

All information provided by FormLLC is for general informational purposes only. Nothing constitutes legal, tax, or financial advice. For your specific legal or tax situation, consult a licensed attorney or CPA. FormLLC accepts no liability for decisions made based on our general guidance.

3. Fees and Refunds

Service fees are due upon engagement. Government/state filing fees are additional and charged at cost — we do not mark these up. Refunds are not available once government filings have been submitted. If we have not yet filed on your behalf, a partial refund may be available minus any processing fees already incurred.

4. Client Responsibilities

Clients are responsible for: (a) providing accurate information for all filings; (b) maintaining ongoing US compliance after initial setup, including annual state reports, Form 5472 filings, and any reporting obligations that apply under current rules; (c) keeping their registered agent information current; (d) understanding that FormLLC reminders are a courtesy, not a guarantee of compliance.

5. Third-Party Services

FormLLC works with US-based registered agents, CPAs, and legal professionals to complete certain tasks. Service quality for third-party components is subject to those providers' performance. FormLLC is not liable for delays caused by the IRS, state agencies, banks, or other third parties.

6. Limitation of Liability

FormLLC's total liability for any claim shall not exceed the fees paid for the specific service giving rise to the claim. We are not liable for indirect, consequential, or punitive damages, including penalties assessed by the IRS or state agencies.

7. Governing Law

These terms are governed by the laws of the Republic of India. Disputes shall be resolved through binding arbitration in Patna, Bihar.
